摘要:
竞业禁止是商法理论研究的一个重要课题,论述了董事、经理、一般雇员及代理商所负竞业 禁止义务的立法不足及完善建议,并就如何强化违反竞业禁止义务的法律责任条款的可操作性进 行了探讨。
Abstract:
The loyal duty of forbidding to compete with employers is an important issue in commercial law.Legislation insufficiencies and improvement suggestions about this loyal duty of the director,the manager,the employee and the agent are put forward.Also the question how to enhance the maneuverability of liability clauses as to breaking the duty is discussed.
