摘要:
作为合同修正的工具,意思自治原则和法院行为调和的中介,默示条款从一开始便带有浓 烈的判例法特色。其主要分为两大类:法定默示条款和推定默示条款,其中后者又有依照合同目的 成立的和依照交易习惯成立的两小类。在效力方面,基于当事人意思自治原则,默示条款没有高于 明示条款的效力(一些法定默示条款除外),而且还有两种排除适用的情形。由于其在减少纠纷、保 护合同当事人合法权益、稳定经济秩序等方面的特殊作用,20世纪之后在世界范围得到广泛应用。 我国合同法关于默示条款制度的吸收和转化主要体现在以61条、62条为核心的买卖合同中。
Abstract:
As the tool formodifying contract,meaning of self-determining, countmediating and implied terms had the character of test case from the very beginning.They are classified into two:legal and putative implied terms, of which the later are sub-classified into the tenable based on contract and the tenable based on customs. The effect of self-determining and implied terms based on parties is not greater than that of express terms, and there is possibility of excluding. Due to its special function in decreasing the entanglements, protecting the interest of the legal party and stabilize the economic order, it is widely used all over the world after 20th century.Absorbing and transforming of implied terms in contract lawof our country are embodied in term 61 and 62 of contract law.
