Abstract:
In order to demonstrate the legitimacy of the social responsibility of corporates and their legal scope in construction, this paper analyzes the contradiction between the must and reality in the social responsibility of corporates, the driving force of the reality in the legal scope and the differences between the legal theory and legal scope of it. The analysis indicates that the social responsibilities should be regulated by law and the wealth maximization of the shareholders should by no means,the aim of the corporates. The authors hold that the mode of both shareholder wealth maximization and social responsibility should be undertaken, and the social responsibility and the survival and development of corporates should be equally stressed.
